Vita Veritas Academy / Next Level Italy Partner Program
Promotional and referral collaboration agreement electronically accepted

Article 1 — Parties to the Agreement
This agreement is entered into by and between:
ASSOCIAZIONE SPORTIVA DILETTANTISTICA E DI PROMOZIONE SOCIALE VITA VERITAS ACADEMY, abbreviated as A.S.D. A.P.S. Vita Veritas Academy, with registered office at Viale Sant’Angelo 195, 87064 Corigliano-Rossano (CS), Italy, Italian tax code 97049120781, VAT number 03979250788, certified email vitaveritasacademy@pec.it, email info@vitaveritas.academy, represented by its President Gianfranco Capoverde, hereinafter also referred to as “Vita Veritas”, “Vita Veritas Academy”, “Academy”, “Organisation” or “Program Manager”;
and

Vita Veritas and the Partner are jointly referred to as the “Parties”.
Article 2 — Recitals
Vita Veritas Academy is an Italian amateur sports association and social promotion association, established on a non-profit basis to pursue civic, solidarity and socially useful purposes, as well as sporting, educational, cultural, recreational and personal wellbeing purposes, in accordance with its Articles of Association, the Italian Third Sector Code, amateur sports regulations and all applicable laws.
Vita Veritas Academy, including through the Next Level Italy project, promotes initiatives, experiences, stays, programs, events and activities connected with wellbeing, awareness, personal growth, holistic culture, territorial promotion and activities consistent with its statutory purposes.
The Partner has applied to participate in the Partner Program through the online application form, declaring the intention to promote Vita Veritas Academy and Next Level Italy initiatives through the Partner’s network, community, professional activity, digital channels or other tools compatible with the Program rules.
The Partner has read and accepted the Partner Terms and Conditions and the Partner Privacy Policy published on the Vita Veritas Academy website.
These recitals form an integral and substantial part of this agreement.
Article 3 — ETS / ASD / APS Nature and Scope of the Agreement
This agreement is entered into in accordance with the associative, amateur sports and social promotion nature of Vita Veritas Academy.
The promotional activity covered by this agreement shall be understood as functional, instrumental and ancillary to the dissemination of the initiatives promoted by the Organisation, in compliance with its statutory purposes, the limits applicable to Italian Third Sector entities, amateur sports activities and any different, secondary and instrumental activities permitted under applicable law.
This agreement does not grant the Partner the status of member, associate, registered athlete/member, volunteer, sports worker, director, representative, agent or officer of the Organisation. Any admission as a member or registered participant remains subject to separate and autonomous procedures, in accordance with the Articles of Association and applicable regulations.
Article 4 — Documents Incorporated into the Agreement
This agreement incorporates the following documents, which the Partner declares to have read and accepted:

b) Partner Privacy Policy: https://www.vitaveritas.academy/privacy-policy-partner/
c) the essential rules and operating instructions available in the partner dashboard;
d) any official communications sent by Vita Veritas to the Partner.
In the event of inconsistency between this agreement and informal communications, this agreement, the Partner Terms and Conditions, the Partner Privacy Policy and the Organisation’s official communications shall prevail.
Language clause: this English version is provided as an operational courtesy translation. In the event of any discrepancy between the Italian version and this English version, the Italian version shall prevail, unless otherwise agreed in writing by Vita Veritas.
Article 5 — Subject Matter of the Agreement
This agreement governs the Partner’s participation in the Vita Veritas Academy / Next Level Italy Partner Program.
The Partner may promote the initiatives indicated by Vita Veritas by using the Partner’s tracked partner link, in order to generate requests, leads and bookings attributable to the Partner’s partner code.
Subject to the conditions set out in this agreement, the Partner Terms and Conditions and the technical rules of the Program, the Partner may accrue a commission on confirmed and fully paid bookings.
The Partner does not acquire any right over initiatives, events, accommodation facilities, price lists, materials, trademarks, databases, customers, technical tools or contractual relationships of Vita Veritas, Next Level Italy, Villaggio Irene or any other parties involved.
Article 6 — Nature of the Relationship
This agreement is a promotional and referral collaboration agreement.
The Partner acts independently, without subordination, working hours, exclusivity, territorial rights, mandatory continuity or stable integration into the organisation of Vita Veritas.
This agreement does not constitute an employment relationship, coordinated and continuous collaboration, mandate with representation, agency, franchise, partnership, joint venture, travel intermediation, tour operating relationship, stable business procurement relationship or any similar relationship.
The Partner may not use the name of Vita Veritas to assume obligations towards third parties, conclude contracts, collect payments, confirm bookings, change prices, grant discounts, promise special conditions or make binding statements in the name or on behalf of Vita Veritas, Next Level Italy, Villaggio Irene or any other parties involved.
Article 7 — No Agency, Tour Operating or Representation
The Partner is not a travel agency, tour operator, travel intermediary, agent, mandatary or official representative of Vita Veritas, Next Level Italy, Villaggio Irene or the accommodation facility.
The Partner may not present themselves as an official booking channel, may not directly sell travel packages on behalf of the Organisation, may not manage payments, deposits, balances, changes or cancellations, and may not independently confirm any booking.
Every request, quotation, confirmation, payment, change or cancellation remains managed exclusively through authorised official channels.
Article 8 — Partner Code and Tracked Link
The Partner is assigned the following partner code:

The Partner undertakes not to modify, mask, alter, manipulate or use partner codes belonging to others.
The partner code is personal, non-transferable and may be disabled, suspended or cancelled by Vita Veritas in the event of violations, abuse, technical errors, termination of the relationship or administrative necessity.
Article 9 — First-Touch Attribution Rule
The Partner Program uses a first-touch attribution rule.
When a user visits the website through a valid partner link, the system records the first attributed Partner for a 180-day window.
If the same user subsequently visits the website through a second Partner’s link during a still-valid attribution window, the second Partner does not replace the first.
If the same Partner is visited again by the same user, the attribution window may be renewed for a further 180 days.
If the Partner is suspended, deactivated, rejected or not approved, the link may continue to display the public page, but it does not generate new valid attributions.
Article 10 — Technical Tracking and Audit
The Partner acknowledges that the Program uses technical tracking systems necessary for attribution, requests, commissions, security and audit management.
Tracking may include technical cookies, localStorage, server-side logs, partner code, click date and time, landing page, language, referrer, UTM parameters, IP address, user agent, pseudonymised technical identifiers, click-to-lead conversion and lead-to-confirmed-booking conversion.
The Partner does not have access to detailed click data, IP addresses, user agents, referrers or UTM parameters. Such data remains visible only to authorised administrators.
Article 11 — Partner Dashboard
The Partner may access a reserved dashboard through which the Partner can copy partner links, view attributed leads, check request status, monitor commissions and download any available receipts or documents.
The Partner sees only the data necessary for managing the Partner’s relationship with Vita Veritas.
The Partner does not see customer email addresses, customer telephone numbers, number of guests, total request value, total quotation amount, customer notes, IP addresses, user agents, referrers, UTM parameters, detailed click data or data belonging to other partners.
The Partner undertakes not to use data displayed in the dashboard for purposes other than the Partner Program and not to disclose such data to unauthorised third parties.
Article 12 — Commission
The commission granted to the Partner is equal to 5% of the commissionable base.
The commission is calculated exclusively on the commissionable components defined in this agreement and in the Partner Terms and Conditions.
The commission is not calculated on the overall amount paid or quoted to the customer, because that amount may include non-commissionable items.
Article 13 — Commissionable Base
The commissionable base consists exclusively of:
a) net pure accommodation amount, after any seasonal promotions and after any Pay Now discount applicable to the commissionable component;
b) net wellness program amount, after any Pay Now discount applicable to the commissionable component.
Formula:
commissionable base = net pure accommodation + net wellness program
commission = commissionable base × 5%
The Partner acknowledges that the system stores a historical snapshot of the commissionable base at the time of the request or confirmation, according to the technical rules of the Program.
Article 14 — Items Excluded from Commission
The following are always excluded from the commissionable base:
meals, extras, air conditioning, linen, cleaning, final cleaning, pet cleaning, taxes, charges, ancillary services, beach, sunbeds, beach facility services, massages, excursions and any other item not expressly indicated as commissionable.
The Partner acknowledges that ancillary services, aggregated costs, taxes, supplements or components not expressly commissionable do not give rise to commission, unless otherwise authorised in writing by Vita Veritas.
Article 15 — Promotions, Discounts and Pay Now
Any seasonal promotions, discounts or Pay Now conditions affect the commissionable base only to the extent that they apply to commissionable components: pure accommodation and wellness program.
Discounts applied to non-commissionable components do not increase or reduce the Partner’s commission, unless otherwise decided in writing by Vita Veritas.
The Partner may not independently offer discounts, bonuses, promotions, gifts, special conditions or economic advantages not authorised in writing by Vita Veritas.
Article 16 — Accrual of Commission
The commission accrues exclusively when the request attributed to the Partner is:
status = confirmed
and
payment_status = paid_now or payment_status = paid_full.
No commission accrues on new, pending, unpaid, deposit-only, duplicate, cancelled, deleted, refunded, spam, test, fraudulent or incorrectly attributed requests.
The accrual of the commission does not constitute immediate payment, but makes the commission processable under the timing and conditions set out in this agreement.
Article 17 — Payment of Commissions
Accrued commissions are paid manually by Vita Veritas within 30 days of receipt of the customer’s final balance, provided that the Partner has supplied correct tax and payment details.
Payment may be made by bank transfer or PayPal, according to the details provided by the Partner and accepted by the administration.
If several commissions accrue for the same Partner within the 30-day window, Vita Veritas may make a cumulative payment.
Vita Veritas may suspend payment in the event of incomplete data, incorrect tax documentation, disputes, violations of this agreement or the need for verification.
Article 18 — Partner Tax Documentation
The Partner is responsible for the correct tax qualification of the Partner’s position.
For operational purposes, and subject to verification with the Partner’s own tax adviser:
a) an Italian individual Partner without a VAT number may be managed through occasional service provision, where the legal requirements are met, with application of a 20% withholding tax where due;
b) an Italian ordinary VAT Partner issues an electronic invoice to Vita Veritas Academy with VAT according to the applicable regime;
c) a Partner under the Italian flat-rate regime issues an invoice without VAT, with the wording required by the relevant tax regime;
d) an EU Partner issues documentation according to the rules applicable to intra-EU transactions, including any reverse charge procedures, VAT integration, F24 payment and Intrastat filing, where due.
The Partner undertakes to provide the necessary tax documentation before payment. In the absence of suitable documentation, Vita Veritas may suspend payment until regularisation.
Article 19 — Promotional Obligations of the Partner
The Partner undertakes to promote Vita Veritas Academy, Next Level Italy and related initiatives in a correct, transparent, ethical manner consistent with the values of the Organisation.
The Partner must use truthful, updated information consistent with official materials supplied or approved by Vita Veritas.
The Partner must avoid any communication that may cause confusion regarding the Partner’s role, the nature of the promoted experience, the economic conditions or the characteristics of the Program.
The Partner undertakes to comply with the instructions contained in the Partner Terms and Conditions, the dashboard and the Organisation’s official communications.
Article 20 — Promotional Prohibitions
The Partner is prohibited from:
a) carrying out paid advertising campaigns without written authorisation from Vita Veritas;
b) making medical, therapeutic, curative or healing promises;
c) promising guaranteed results in terms of health, wellbeing, personal transformation or earnings;
d) offering unauthorised discounts, bonuses or conditions;
e) presenting themselves as a travel agency, tour operator, travel intermediary or official representative of the facility;
f) collecting payments, confirming bookings or changing prices;
g) using spam, misleading messages, aggressive practices or unsolicited communications;
h) using unauthorised logos, images, texts or materials;
i) creating websites, domains, pages, profiles or groups that may appear to be official channels of Vita Veritas, Next Level Italy, Villaggio Irene or any other parties involved;
j) carrying out activities contrary to the law, the ethics of the project or the reputation of Vita Veritas.
Article 21 — Prohibition of Medical Claims
The promoted initiatives are intended for wellbeing, awareness, personal growth, cultural experience and holistic stay purposes.
The Partner may not present the Wellness Holiday, programs, activities or operators involved as tools for diagnosis, cure, medical treatment, healthcare therapy or healing from diseases.
The Partner may not use expressions such as “cures”, “heals”, “solves diseases”, “guaranteed results”, “medical treatment”, “medical therapy” or equivalent wording.
Article 22 — Use of Brand and Materials
The Partner may use the name Vita Veritas Academy, Next Level Italy and authorised materials exclusively for the purposes of the Partner Program.
It is prohibited to alter logos, images, texts or official materials without written authorisation.
It is prohibited to create accounts, domains, pages, groups, advertisements, social profiles or materials that may appear to be official channels of Vita Veritas, Next Level Italy, Villaggio Irene or any other parties involved, unless authorised in writing.
Vita Veritas may at any time request the modification or removal of content deemed non-compliant.
Article 23 — Data Processing and Privacy
The Partner declares to have read the Partner Privacy Policy published at:

The Partner acknowledges that Vita Veritas processes personal, tax, technical, contractual, tracking, audit and payment data necessary for managing the Partner Program.
The Partner undertakes to process any data received through the dashboard in compliance with applicable law and not to use it for purposes other than the Partner Program.
Article 24 — Confidentiality
The Partner undertakes to keep confidential any non-public information received from Vita Veritas or displayed in the dashboard, including operational, administrative, technical, economic, contractual information and information relating to leads, commissions, procedures or internal materials.
The confidentiality obligation remains valid even after termination of the partner relationship.
Article 25 — Partner Data and Updates
The Partner declares that the data provided during the application process is true, complete and up to date.
The Partner undertakes to promptly communicate any changes concerning email, telephone number, country, tax data, IBAN, PayPal, tax profile, payment methods or any information necessary for managing the relationship.
Vita Veritas is not responsible for delays, failed payments or communications not received due to incorrect, incomplete or outdated data provided by the Partner.
Article 26 — Term of the Agreement
This agreement takes effect from the date of approval of the Partner by Vita Veritas.

The agreement remains valid until withdrawal, suspension, deletion, exclusion from the Program or termination of the Partner Program.
Article 27 — Withdrawal
The Partner may request termination of participation in the Program by writing to the official contacts of Vita Veritas.
Vita Veritas may terminate the relationship with the Partner in the event of breach of this agreement, inactivity, incomplete data, non-compliant conduct, organisational, tax, legal or technical reasons, or termination of the Program.
Termination does not affect tax, administrative, confidentiality, audit, payment or reporting obligations accrued before termination.
Article 28 — Suspension, Reactivation and Deletion
Vita Veritas may suspend the Partner in the event of breaches, need for verification, incomplete data, reports, abuse, significant inactivity or conduct inconsistent with the Program.
During suspension, the Partner’s link may remain visible but does not attribute new valid leads.
Vita Veritas may reactivate the Partner and send instructions to restore access.
Permanent deletion is possible only if there is no operational history connected to the Partner, such as attribution, commissions, payouts, receipts or converted clicks. If operational history exists, Vita Veritas may suspend or deactivate the Partner, but retains the data necessary for audit, traceability and administrative, tax and rights-protection obligations.
Article 29 — Cancellation and Loss of Commissions
Unpaid commissions may be cancelled in the event of a cancelled, duplicate, refunded, unconfirmed, unpaid, fraudulent, test, spam or agreement-breaching request.
In the event of serious violations, Vita Veritas may suspend the Partner, cancel unpaid commissions, exclude the Partner from the Program and request the removal of non-compliant content.
Any commissions already paid may be subject to verification and repayment request if they are connected to fraud, manifest error, false statements or substantial violations.
Article 30 — Limitation of Liability
Participation in the Partner Program does not guarantee earnings, a minimum number of leads, a minimum number of bookings, conversions, continuity of payments or permanence of the Program.
Vita Veritas is not liable for lost earnings, loss of opportunities, errors arising from improper use of the partner link, unauthorised promotional activities, suspensions due to violations or conduct of the Partner not compliant with this agreement.
Liability of each Party for wilful misconduct, gross negligence, violations of law or mandatory obligations remains unaffected.
Article 31 — Indemnity
The Partner undertakes to indemnify and hold Vita Veritas harmless from claims, disputes, penalties, compensation requests, reputational damage, costs or liabilities arising from content, statements, campaigns, messages, promises, discounts, promotional activities or conduct of the Partner that are unauthorised or not compliant with this agreement.
This indemnity applies within the limits permitted by law and does not exclude any mandatory liability of the Organisation.
Article 32 — Changes to the Program
Vita Veritas may modify, update, suspend or discontinue the Partner Program for organisational, technical, tax, legal, associative, statutory or commercial reasons.
Changes will be communicated through the website, dashboard, email or other appropriate channels.
Continued use of the Program after communication of the changes constitutes acceptance of the updated conditions, without prejudice to the Partner’s right to cease participation.
Article 33 — Electronic Acceptance
The Partner declares that the Partner has completed the online application form and accepted the Partner Terms and Conditions and the Partner Privacy Policy.
This agreement is generated electronically following approval of the Partner’s application by Vita Veritas, using the data provided by the Partner during the application process and the technical information recorded by the system.
The Partner acknowledges that electronic acceptance does not constitute a digital signature, qualified electronic signature or advanced electronic signature, unless certified services specifically intended for that purpose are integrated in the future.
For audit and traceability purposes, the system may record:
a) Partner identification data;
b) partner code;
c) application date and time;
d) approval date and time;
e) URL and version of accepted documents;
f) technical data reasonably necessary to demonstrate the acceptance process;
g) audit log of administrative actions.
Article 34 — Specifically Approved Clauses
By electronically accepting the Partner Terms and Conditions and by using the Partner Program, the Partner declares that the Partner has read, understood and specifically approved, also pursuant to and for the purposes of Articles 1341 and 1342 of the Italian Civil Code where applicable, the clauses relating to:
a) autonomous and promotional nature of the relationship;
b) absence of employment, agency, mandate, representation, travel intermediation or tour operating relationship;
c) first-touch attribution criteria and 180-day window;
d) calculation of the commission and excluded items;
e) commission accrual and payment conditions;
f) cancellation or loss of commissions in case of violations or invalid requests;
g) promotional prohibitions, including medical claims, unauthorised discounts and unauthorised paid advertising;
h) suspension, reactivation and deletion of the Partner;
i) limitations of liability;
j) indemnity;
k) changes to the Program;
l) data processing, audit and document retention;
m) applicable law and competent court.
Article 35 — Applicable Law and Competent Court
This agreement is governed by Italian law.
The Parties undertake to seek a friendly resolution in advance for any dispute relating to the interpretation, performance or validity of this agreement.
Unless a different mandatory court is provided by law, any dispute relating to this agreement shall fall under the jurisdiction of the Court of Castrovillari, Italy.
Article 36 — Communications
Communications relating to this agreement may be sent to the email address provided by the Partner during the application process or subsequently updated.

Article 37 — Final Provisions
This agreement, together with the Partner Terms and Conditions, the Partner Privacy Policy and the official operating instructions, constitutes the essential framework governing the relationship between Vita Veritas and the Partner.
The invalidity or ineffectiveness of any clause shall not affect the validity of the entire agreement, which shall remain valid and effective for the remaining provisions.
Any tolerance by Vita Veritas of non-compliant conduct shall not constitute a waiver of the rights arising from this agreement.

Article 39 — Acceptance and Approval
The Partner declares that the Partner has read and accepted this agreement, the Partner Terms and Conditions and the Partner Privacy Policy through the online application form.
Vita Veritas declares that it has approved the Partner’s application according to its internal procedures.
